1. AGREEMENT

These Terms & Conditions ("Terms") are an agreement between you and Blue Ibis Group, LLC, a South Carolina limited liability company doing business as C-School ("C-School," "we," "us," or "our"). They govern your use of https://blueibisgroup.com and everything on it, including joining our waitlist. By using the site or submitting your information, you agree to these Terms. If you don't agree, please don't use the site.

2. WHO CAN USE THIS SITE

You must be at least 18 years old and able to enter into a binding contract. The site is intended for practicing clinicians, students in clinical programs, and other business owners seeking business education. You agree that the information you give us is accurate and that you'll keep it current.

3. THE WAITLIST

Joining the waitlist means you'd like to hear from us when C-School opens. It isn't a purchase, a reservation, or a contract for services, and it doesn't obligate either of us to anything.

We expect to launch in September 2026, but that date is a plan, not a promise. We may change the launch date, change what the membership includes, limit how many people we accept, or decide not to launch at all. If any of that happens, we'll tell the waitlist.

Founding member pricing. We intend to offer waitlist members a founding rate at launch, and to hold that rate for members who stay continuously enrolled. The specific terms of that offer — the price, what it covers, and how long it lasts — will be set out in the Membership Agreement you'll see before you pay anything. Nothing on this website is a binding price quote.

4. THE MEMBERSHIP (COMING SEPTEMBER 2026)

When C-School opens, membership will be governed by a separate Membership Agreement covering billing, renewal, cancellation, refunds, and access. You'll review and accept those terms at the time you join. These Terms cover the website and waitlist only.

5. THIS IS EDUCATION, NOT ADVICE

--------------------------------------------------------------------------------

Read this section carefully. It matters. Everything C-School publishes — on this site, in the membership, in videos, podcasts, templates, prompts, AMAs, and emails — is general business education for informational purposes. It is not legal, accounting, tax, financial, regulatory, compliance, employment, insurance, or medical advice, and it is not a substitute for a professional who knows your specific situation. Nothing here creates a professional-client, attorney-client, consultant-client, or fiduciary relationship between you and C-School or anyone associated with it.

You are responsible for your own practice. That includes your compliance with HIPAA, state licensing boards, advertising and solicitation rules, insurance and billing regulations, employment law, and every other rule that applies to you. Marketing rules for healthcare practitioners vary by state and by profession, and some of what works in other industries is restricted or prohibited in yours. Check before you act, and involve your own attorney, accountant, or compliance advisor when the stakes warrant it.

No guarantee of results. We don't promise that anything we teach will grow your practice, increase your revenue, or produce any particular outcome. Business results depend on your market, your effort, your execution, your timing, and a great deal that none of us controls. Any example, case study, or result we describe is what happened for that person — not a typical result and not a prediction of yours.

6. AFFILIATE RELATIONSHIPS

We recommend software tools, and for some of them we have affiliate agreements — meaning if you sign up through our link, we may earn a commission or receive other compensation at no additional cost to you. We recommend tools because we think they're useful, and a commission doesn't change what we'd tell you. That said, you should evaluate any tool against your own needs, budget, and compliance requirements before you buy it. We're not responsible for third-party products, their pricing, their performance, their data practices, or their support.

7. OUR CONTENT AND YOUR LICENSE TO USE IT

Everything on this site and in the membership — text, video, audio, graphics, infographics, templates, cheat sheets, prompts, SOPs, course material, the C-School name and logo, and the arrangement of all of it — belongs to us or to our licensors and is protected by copyright, trademark, and other laws. You may use our material for your own practice and internal business purposes. Templates, prompts, and SOPs are yours to adapt and use in the business you own or work in.

You may not: resell, license, or redistribute our material; share your member access with people who aren't members; post our material publicly or upload it to other platforms; use it to build a competing product or educational offering; or strip out our attribution and present it as your own.

Book summaries and third-party material. Our book club content consists of our own original summaries, commentary, and application — not reproductions of the books themselves. The underlying books belong to their authors and publishers,and we encourage you to buy them.

8. WHAT YOU SEND US

When you submit a question, comment, testimonial, or any other content to us — including AMA questions — you keep ownership of it, but you give us a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and display it in connection with C-School, including answering it publicly in our content.

We'll use good judgment about identifying details, but assume that anything you submit to a public forum or an AMA may be discussed publicly. Don't send us

anything confidential, and never send patient information or protected health information (PHI). See our Privacy Policy.

You confirm that anything you send us is yours to send and doesn't infringe anyone else's rights.

9. ACCEPTABLE USE

Don't use this site to break the law, harass anyone, impersonate anyone, scrape or harvest data, introduce malicious code, probe or breach our security, overload our systems, or gain access to areas you're not authorized to enter. Don't submit false information or sign someone else up without their permission. We may suspend or terminate access for anyone who violates these Terms.

10. EMAIL COMMUNICATIONS

By joining the waitlist you consent to receive email from us about C-School. Every email includes an unsubscribe link. You can opt out at any time, and doing so removes you from the waitlist.

Our site links to other websites and services we don't control. We're not responsible for their content, their accuracy, their availability, or how they handle your data. Following a link is your decision and your risk.

ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR OUR CONTENT — WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY. 14. DISPUTES

Governing law. These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Let's talk first. If you have a problem, email [email protected] before filing anything. Most things get solved in a conversation. Where disputes are heard. Any dispute that can't be resolved informally will be brought exclusively in the state or federal courts located in Spartanburg County, South Carolina, and you consent to personal jurisdiction there.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Blue Ibis Group, LLC and its owners, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the site, your violation of these Terms, your violation of any law or third-party right, or any content you submit to us.

16. CHANGES TO THESE TERMS

We may update these Terms as C-School develops. When we do, we'll change the date at the top of this page. Material changes will be announced by email or by notice on the site. Continuing to use the site after a change means you accept the updated Terms.

17. GENERAL

Severability. If any provision is found unenforceable, the rest stays in effect.

No waiver. If we don't enforce something right away, we haven't given up the right to enforce it later.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Entire agreement. These Terms, together with our Privacy Policy, are the complete agreement between you and us regarding the website and waitlist.

Survival. Sections 5, 7, 8, 12, 13, 15, and 17 survive termination.
